Vendor Terms of Service
These Vendor Terms of Service ("Terms") govern your participation as a vendor ("Vendor," "you," or "your") on the SAVI Place marketplace ("SAVI Place," "we," "us," or "our") operated by Jackpot Ventures LLC, a Colorado limited liability company. By submitting a vendor application and checking the agreement box, you agree to be bound by these Terms.
1. Eligibility and Application
- 1.1 To sell on SAVI Place, you must submit a complete vendor application and receive written approval from SAVI Place. Approval is at our sole discretion.
- 1.2 You must be a legal business entity or individual operating in compliance with all applicable laws in your jurisdiction.
- 1.3 You represent and warrant that all information provided in your application — including fiber content declarations, certification details, and business information — is accurate, complete, and up to date.
- 1.4 SAVI Place reserves the right to reject any application without providing a reason.
2. Material Standard and Product Eligibility
- 2.1 All products listed on SAVI Place must meet SAVI Place's Vendor Material Standard, as published at /pages/learn and updated from time to time. The current standard is incorporated into these Terms by reference.
- 2.2 You are solely responsible for ensuring that every product you list meets the material standard at the time of listing and on an ongoing basis.
- 2.3 Products containing any of the following are not permitted on SAVI Place under any circumstances: polyester (virgin or recycled), nylon or polyamide, acrylic, PVC, any recycled plastic bottle fabric, conventional (non-organic) cotton, PFAS-based finishes, formaldehyde treatments, or real fur.
- 2.4 You must hold valid third-party certifications for each product line as specified in the Vendor Material Standard. SAVI Place verifies certificate numbers against public databases. Expired or invalid certifications result in immediate delisting of affected products.
- 2.5 You must notify SAVI Place within 5 business days of any change to a product's fiber content, manufacturing process, or certification status that may affect its compliance with the material standard.
- 2.6 Prohibited product categories: Regardless of material composition, the following products may not be listed on SAVI Place under any circumstances: cannabis and cannabis-derived products; CBD and other hemp-derived cannabinoid products, including topicals and cosmetics containing CBD; ingestible products of any kind, including food, beverages, dietary supplements, vitamins, herbal remedies, and nutraceuticals; tobacco products, e-cigarettes, vaporizers, e-liquid, and herbal or vitamin cigarettes; drug paraphernalia; pharmaceuticals, prescription-only products, and regulated medical devices; firearms, ammunition, firearm parts and accessories, and other weapons; alcohol; products intended for sexual gratification; and counterfeit goods or goods infringing third-party intellectual property rights. This list is not exhaustive and may be updated at SAVI Place's discretion.
- 2.7 No medical or therapeutic claims: You may not represent, on a product page or anywhere else on SAVI Place, that any product diagnoses, treats, cures, prevents, or mitigates any disease or health condition. Factual, verifiable statements about materials, certifications, and tested substance limits — such as OEKO-TEX STANDARD 100 or GOTS certification, or the documented absence of a specified finish — are permitted and are not medical claims for the purposes of this Section.
- 2.8 Payment processor requirements: SAVI Place's payment processors maintain their own lists of prohibited and restricted businesses. You may not list any product that would place SAVI Place or you in breach of those lists. SAVI Place may delist any such product without prior notice.
3. Fiber Content Declarations and Misdeclaration
- 3.1 You declare, under penalty of immediate termination, that all fiber content information provided in your application and product listings is accurate and matches the sewn-in label composition of each product.
- 3.2 SAVI Place may request fiber content documentation, lab test results, or physical product samples at any time to verify compliance. Failure to provide requested documentation within 10 business days is treated as a misdeclaration.
- 3.3 Misdeclaration consequences: Discovery of any misdeclared fiber content results in:
- Immediate delisting of all affected products
- Immediate termination of your vendor account
- Clawback of all commissions earned on sales of misdeclared products
- SAVI Place's right to pursue damages for harm caused to customers and to SAVI Place's reputation
- 3.4 SAVI Place reserves the right to publicize the misdeclaration if it determines disclosure is necessary to protect customers.
4. Listings and Product Content
- 4.1 You are responsible for the accuracy of all product titles, descriptions, images, fiber content details, and care instructions.
- 4.2 Product pages must disclose trim composition (thread, elastic, hardware) where known, as required by the Vendor Material Standard.
- 4.3 Products containing natural latex must include a latex allergy disclosure on the product page. Failure to include this disclosure is a material breach of these Terms.
- 4.4 Products containing down or wool fill must disclose the fill material and applicable certification (RDS or RWS) on the product page.
- 4.5 You may not make any claim about your products that is false, misleading, or unverifiable. This includes but is not limited to: thread count claims without documentation, organic claims without certification, and sustainability claims that misrepresent the product's environmental impact.
- 4.6 SAVI Place reserves the right to edit, remove, or request changes to any product listing that does not comply with these Terms or the Vendor Material Standard.
5. Commission and Fees
- 5.1 Commission rate: SAVI Place charges a commission of 18% on the total customer-paid order amount (excluding sales tax collected by SAVI Place). This commission is all-inclusive — no separate payment processing fees, listing fees, or monthly fees are charged to vendors. Affiliate and marketing commissions are included: where a sale is generated through an affiliate, influencer, publisher, or other marketing partner engaged by SAVI Place, that partner's commission is paid by SAVI Place out of its own 18% and is never deducted from your net proceeds or charged back to you. A sale generated through a marketing partner pays you exactly the same amount as any other sale.
- 5.2 Payment processing fee on returns: When a customer return is processed, our payment processor does not return the processing fee charged on the original transaction. That fee — 2.9% of the order total plus $0.30 — is therefore retained by SAVI Place and borne by the vendor. The entire remainder of SAVI Place's commission is credited back to you. On a $100 order, SAVI Place's commission is $18.00; on a return, $14.80 is credited back to you and $3.20 is retained to cover the unrecoverable processing fee. SAVI Place does not profit from returns.
- 5.3 Return costs: When a customer return is processed, SAVI Place will claw back from your next scheduled payout the net amount previously paid to you, plus the payment processing fee described in 5.2. On a $100 order where you received $82.00, the total clawback is $85.20. The returned product is your property and your responsibility to receive, inspect, and restock or dispose of. SAVI Place does not cover the cost of return shipping unless SAVI Place determines the return is due to our platform error.
- 5.4 Chargebacks: In the event of a customer chargeback, SAVI Place will deduct the full chargeback amount plus any chargeback fees imposed by our payment processor from your next scheduled payout. If your account balance is insufficient, the deficit carries forward to subsequent payouts.
- 5.5 Fee changes: SAVI Place may update the commission rate with 60 days' written notice to active vendors. Any rate change applies only to orders placed after the effective date of the change.
- 5.6 Vendor-initiated cancellations: You may cancel an unfulfilled order or line item if you are unable to fulfill it. The customer receives an automatic full refund, including shipping where applicable. Because our payment processor does not return its processing fee (2.9% of the cancelled amount plus $0.30) when a refund is issued, that fee is deducted from your next scheduled payout, consistent with Section 5.2; if commission on the cancelled amount was already paid to you, it is clawed back consistent with Section 5.3. SAVI Place does not profit from cancellations. Cancel as early as possible — cancellation of more than 5% of your orders in any 30-day period may result in a warning or suspension, consistent with Section 8.1.
- 5.7 Promotions and discounts: SAVI Place does not apply discounts to your products without your consent. You may request a discount or promotion for your own products at any time by emailing vendors@saviplace.com, and SAVI Place will create a discount code scoped to your products. When a discount applies, commission is calculated on the discounted customer-paid amount, consistent with Section 5.1 — the discount is shared proportionally between you and SAVI Place.
6. Payouts
- 6.1 Payouts are processed monthly via Stripe Connect, on or around the 14th of each month, covering eligible orders from the preceding calendar month. Orders become eligible for payout once you have uploaded a valid tracking number. Exact timing may vary by 1–2 business days.
- 6.2 You are responsible for maintaining an active, valid Stripe Connect account. SAVI Place is not responsible for payout delays caused by issues with your Stripe account, including account verification holds, bank processing delays, or currency conversion.
- 6.3 SAVI Place reserves the right to withhold payouts to accounts under investigation for return fraud, misdeclaration, or any other breach of these Terms until the investigation is resolved.
- 6.4 Minimum payout threshold: payouts are only processed when your pending balance meets the minimum threshold selected during onboarding (default $50.00). Balances below the threshold carry forward to the next payout cycle.
7. Returns, Refunds, and Return Fraud
- 7.1 Vendor return policy: You must publish a return policy for your products, which is displayed to customers on your product pages, and you must honor it. You may set your own return window and conditions, including offering no change-of-mind returns. Return shipping on change-of-mind returns is the customer's responsibility unless your stated policy provides otherwise.
- 7.2 Damaged, defective, or not-as-described items: Regardless of your stated return policy, if an item arrives damaged or defective, is materially different from its listing description, or contains undisclosed fiber content, you must accept the return and issue the customer a full refund, including the customer's original shipping charges, and you are responsible for the cost of return shipping. You may instead offer a replacement, but only if the customer accepts it; the customer is always entitled to the full refund.
- 7.3 Return funding: As stated in Sections 5.2 and 5.3, vendor net proceeds are clawed back on all returns, plus the payment processing fee (2.9% + $0.30) that our payment processor does not return to SAVI Place. The remainder of SAVI Place's commission is credited back to the vendor. SAVI Place does not profit from returns.
- 7.4 Return fraud — prohibited conduct: The following conduct constitutes return fraud and is strictly prohibited:
- Coordinating with any person to purchase your products with the intent to return them for financial gain
- Using any account — your own, a family member's, a friend's, an associate's, or any third party's — to generate fraudulent sales on SAVI Place
- Any scheme designed to extract commission, credits, or funds from SAVI Place through artificial transactions
- 7.5 Return fraud consequences: Discovery of return fraud results in:
- Immediate permanent termination of your vendor account
- Clawback of all funds received through fraudulent transactions
- Reporting to relevant authorities where applicable
- Civil action for damages at SAVI Place's discretion
- 7.6 Return rate monitoring: SAVI Place monitors vendor return rates on an ongoing basis. Because return rates vary substantially by product category, thresholds are category-specific:

Return rates caused by documented product defects, shipping damage, or SAVI Place platform error are reviewed individually and may be excluded from threshold calculations at SAVI Place's discretion. Thresholds may be adjusted with notice as SAVI Place accumulates its own category benchmarks.
- 7.7 Suspicious pattern detection: SAVI Place employs multi-signal behavioral analysis to detect return fraud. Detection signals include but are not limited to: purchase and return timing patterns; repeat buyer email addresses or payment methods associated with a vendor's products; device fingerprinting; shipping address clustering; order velocity anomalies; and statistical correlation between vendor activity and buyer return behavior. No single signal triggers action — SAVI Place evaluates the totality of available signals. Vendors whose products show anomalous patterns may be contacted for review, suspended, or terminated at SAVI Place's discretion.
8. Fulfillment and Shipping
- 8.1 You are responsible for fulfilling all orders within the processing time stated in your vendor profile. Failure to ship within your stated processing time on more than 10% of orders in any 30-day period may result in a warning or suspension.
- 8.2 You must upload a valid tracking number for every order within 24 hours of shipment. Orders without tracking numbers are not eligible for payout until tracking is provided.
- 8.3 You are responsible for packaging products adequately to prevent damage in transit.
- 8.4 You must ship to all markets listed in your vendor profile. You may not selectively refuse orders based on buyer location within your stated shipping regions. If you cannot fulfill a specific order, cancel it promptly under Section 5.6 rather than leaving it unfulfilled.
- 8.5 Lost packages: You bear the risk of loss for every shipment until carrier tracking shows it as delivered to the address the customer provided at checkout.
- If tracking never shows delivery and the package is lost in transit, you must issue the customer a full refund (including any shipping charges paid) or ship a replacement at no charge, at the customer's preference. Refunds are recovered from you under the clawback mechanics of Section 5.3.
- Filing a claim with the carrier is your responsibility, and any carrier reimbursement belongs to you.
- If tracking shows the package was delivered to the address provided at checkout, you have no refund obligation for a claim that the package was not received. In that case the customer's recourse is with the carrier or their payment provider. Any resulting chargeback is handled under Section 5.4, and SAVI Place will contest it using your tracking evidence — you must retain and provide tracking documentation on request.
9. Customer Communication
- 9.1 You must provide a valid customer service email address, which is included on customer receipts and order confirmations. Customers contact you directly at this address for order, shipping, and return inquiries.
- 9.2 You must respond to customer inquiries within 2 business days. If you fail to respond within 2 business days, SAVI Place may step in to resolve the matter, and repeated failures may result in suspension.
- 9.3 You may not solicit customers to purchase directly from you outside of SAVI Place, redirect customers to your own website, or offer incentives to leave SAVI Place reviews on external platforms.
10. Intellectual Property
- 10.1 You retain ownership of all intellectual property rights in your brand, products, and product content (images, descriptions, branding).
- 10.2 By listing products on SAVI Place, you grant SAVI Place a non-exclusive, royalty-free, worldwide license to display, reproduce, and use your product images, descriptions, and brand assets for the purpose of operating and marketing the SAVI Place marketplace. This includes use in SAVI Place's marketing materials, social media, and promotional content.
- 10.3 You represent and warrant that your product content does not infringe any third-party intellectual property rights.
11. Confidentiality
- 11.1 You agree to keep confidential any non-public information about SAVI Place's operations, technology, vendor relationships, or business strategy that you may access as a vendor.
- 11.2 SAVI Place keeps your business information, sales data, and certification documents confidential and does not share them with third parties except as required by law or as necessary to operate the platform (e.g., payment processing).
12. Representations and Warranties
You represent and warrant that:
- 12.1 You have the legal right to sell all products listed on SAVI Place and that doing so does not violate any third-party rights or applicable law.
- 12.2 Your products comply with all applicable product safety laws and regulations in the markets where you ship.
- 12.3 All certifications you provide are valid, current, and obtained from legitimate certifying bodies.
- 12.4 Your business operations comply with all applicable labor laws, including fair wages and safe working conditions for any workers involved in producing your products.
- 12.5 You are not on any government sanctions list and are not operating in a jurisdiction subject to trade sanctions that would prohibit participation in SAVI Place.
- 12.6 None of your products fall within a prohibited category under Section 2.6, and you will notify SAVI Place immediately if any product you list becomes subject to licensing or regulatory requirements you do not hold.
13. Indemnification
You agree to indemnify, defend, and hold harmless SAVI Place, Jackpot Ventures LLC, and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your products, including product liability claims
- Your breach of these Terms
- Your misdeclaration of fiber content or certifications
- Your infringement of any third-party intellectual property rights
- Any claim that your products caused harm to a customer
14. Limitation of Liability
- 14.1 SAVI Place's total liability to you for any claim arising from these Terms or your use of the platform is limited to the total commissions paid by you to SAVI Place in the 90 days preceding the claim.
- 14.2 SAVI Place is not liable for any indirect, incidental, consequential, or punitive damages, including lost profits, lost sales, or business interruption.
- 14.3 SAVI Place does not guarantee any minimum sales volume, traffic, or revenue for vendors.
15. Term and Termination
- 15.1 These Terms begin when your vendor application is approved and continue until terminated by either party.
- 15.2 Termination by vendor: You may terminate your account at any time with 30 days' written notice to vendors@saviplace.com. During the notice period, you must fulfill all outstanding orders.
- 15.3 Termination by SAVI Place — with notice: SAVI Place may terminate your account with 30 days' written notice for any reason, including business changes, platform policy updates, or if your product category is discontinued.
- 15.4 Termination by SAVI Place — immediate: SAVI Place may terminate your account immediately and without notice for:
- Misdeclaration of fiber content or certifications (Section 3)
- Return fraud (Section 7.4)
- Listing a product in a prohibited category (Section 2.6) or making a prohibited medical or therapeutic claim (Section 2.7)
- Any material breach of these Terms that SAVI Place determines is not curable
- Any conduct that SAVI Place determines poses a risk to customers or to SAVI Place's reputation
- 15.5 Upon termination, all outstanding payouts for fulfilled orders will be processed in the next regular payout cycle after resolution of any pending returns, disputes, or investigations. Unfulfilled orders must be fulfilled or cancelled within 48 hours of termination notice.
16. Dispute Resolution
- 16.1 You agree to attempt to resolve any dispute with SAVI Place informally by contacting vendors@saviplace.com before initiating any formal proceeding.
- 16.2 Any dispute that cannot be resolved informally will be resolved by binding arbitration in Colorado, USA, under the rules of the American Arbitration Association. You waive any right to a jury trial.
- 16.3 These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law provisions.
17. Changes to These Terms
SAVI Place may update these Terms at any time. Active vendors will be notified by email at least 30 days before material changes take effect. Continued participation on the platform after the effective date of any change constitutes acceptance of the updated Terms.
18. General Provisions
- 18.1 Entire agreement: These Terms, together with the Vendor Material Standard and SAVI Place's Privacy Policy, constitute the entire agreement between you and SAVI Place regarding your participation as a vendor.
- 18.2 Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
- 18.3 Waiver: SAVI Place's failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- 18.4 Assignment: You may not assign your rights or obligations under these Terms without SAVI Place's prior written consent. SAVI Place may assign these Terms in connection with a merger, acquisition, or sale of assets.
